Over The Counter Bulletin Board - The True Anatomy of an S-1

By James Scott

Your company is growing. Now you are ready to start raising serious capital and you here the public fund raising markets. Here are the basics of your S-1 filing. Know the lingo before you hire a consultant. Because companies must adhere strictly to SEC regulations, initial prospectuses are similar in their organization. Each S-1 generally consists of the following sections:

Front Section -- An S-1 contains a small amount of information not available in a prospectus. In this first section, you can quickly find the issuing company's phone number and get a vague sense of the future offering price.

Cover/Inside Cover -- The prospectus cover outlines the general terms of the offering, including names of the underwriters, number of shares offered, and pricing information. The actual share price is absent from a prospectus until the day of the offering.

Prospectus Summary -- Here you will find a brief synopsis of the company's business and history, a modest discussion of the change in capitalization to occur as a result of the offering, and a useful summary of financial information covering the last five years, if available. If you are screening prospectuses for investment ideas, start here.

Risk Factors -- After you have read a few prospectuses, you will become familiar with the "usual suspects" in this section, including "Possible Volatility of Stock," "Limited History of operations," "Dilution," and "Dependence on Key Personnel." Nevertheless, this section is a worthwhile read to be sure that you understand the challenges facing the company's management. The discussion of competition can be sobering, but it can also provide a means to compare the value of the issuer against the financial performance and market valuation of its competitors.

Taking your company public should be an exciting and revitalizing time. Don't take unnecessary risks, hire a consulting firm who can streamline this process and deliver the results you'll need for success!

Getting to Level 80 in Warcraft. 5 Reasons to do it.

By Paul Rone-Clarke

Getting a character to level 80 in Warcraft can seem a long process. But you should prioritise this above everything else to begin with, here's why;

1 - All new content that is added is for level 80's. It's true. There is more content for a character at level 80 than provided by the entire levelling process, with more being.

2 - You can compete in full blown PvP. Sure there are battlegrounds at every level, but at level 80 they become massive fights with the latest in user controlled vehicles and the greatest rewards in terms of what PvP rep can buy you.

3 - Level 80 for the first time? Or doing it for the tenth? It's a great feeling. It's like a rite-of-passage. Now you have made it a whole new world opens up.

4 - Cataclysm? Heard of it? Well, if you want to get straight into the new end-game content, and be a competitor once the raids at level 85 begin, you need characters ready to go.

5 - Making Warcraft gold. People will tell you that you can make gold at any level. Well, while it's true is no cap to speculating in the auction house, what are you going to use the gold for with just a level 20 toon? The fact it that at 80 you will make 200 gold an hour just by doing other stuff like questing or helping out on a raid. You come back. Sell the loot, and wham 200+ gold per hour with no effort. You'll wonder why you spent days trying to scrape a few thousand together with a low level character when you can totally own the game at level cap.

Sure, the twin goals of being super rich in terms of Warcraft gold and getting to level 80 sometimes seem to clash. They need not though. There are some great systems out and being developed that give you all the help you need while you enjoy the game.

Have a great time, and get levelling!

Cosmetic Brush Sets Are Part Of The Beauty Package

By Amy Bernstein

A cosmetic brush set is one of the essential needs of most ladies. Though there are other options, having the right brush for applying different cosmetics is one of the ways of creating the right effects with your makeup. The wider brushes as well as little ones are excellent for applying different types of blush, lip gloss and concealer.

When selecting a good cosmetic brush set, there are several things to take under consideration. What are the brushes made of and are they angled or straight? Do they have stray bristles that may allow makeup to go where it isn't intended to be? The flat type brush is ideal for applying foundation. They allow foundation to be applied without caring about an uneven appearance.

Soft bristles are normally preferred to apply liquids rather than the rougher type. Delicate brushes are regarded as to be the best, as the face is delicate and you do not wish to cause irritation to your skin when applying makeup. Concealer brushes are used to cover marks and other spots on the skin that you do not need to show. Using a concealer brush with a tapered head is one of the most preferred for applying this cosmetic under the eyes.

The round cosmetic brush will work best to cover acne or other blots on the remainder of the face. Using a thin brush will permit you to cover these spots without overdoing it. If you're trying to find the perfect cosmetic brush set, ensure there are a selection of sizes, flat and chiseled ends and the materials used in making these brushes is a good quality.

Some of the better brushes for applying blush are fuller than other brushes. The ones that come with certain cosmetics are commonly not the type you'll wish to use. Investing a good quality assortment will be much better than using the ones that go with the makeup you purchase.

This is also a brilliant idea for a present since most ladies just buy a couple different brushes as they're required. If you are looking out for a cosmetic brush set to be given as a present, look for the type that are made from quality products. Don't forget that as well as concealer, foundation and blush brushes, there are also eye shade brushes and eyebrow brushes. These are easily as important to help create the finished look when you're applying makeup. The best makeup in the world can look terrible when applies if he correct kind of brush is not used.

A cosmetic brush set will be one of the most essential items needed to ensure that all your makeup is applied in the correct way. After all you do want to make an impression when you are in public. If you don't apply the makeup correctly, this defeats the purpose.

We have all seen girls, to put it mildly, look like they're made up to resemble a clown. This is often in part due to using the incorrect makeup brush. Rather than a subtle look the brush applies the makeup heavily. Do not make this mistake by employing cosmetic brushes that are not designed to do what you need them to do.
